This bill updates the federal charter for the Reserve Organization of America. It confirms the group is a federally chartered, nonprofit corporation that exists permanently. It sets basic rules: hold an annual meeting; let the group’s constitution/bylaws define who can be a member and how leaders are chosen; and allow the group to take lawful actions to meet its purpose of supporting a U.S. military policy that provides adequate national security . It also gives the organization (and its chapters) the exclusive right to use its name, seals, emblems, and badges .
The bill bars doing business for profit, issuing stock, making political contributions, or giving income or assets to members. It bans loans to officers or board members and makes those who approve such loans personally responsible until the money is repaid . The group must keep accurate financial records and minutes, keep a member list at its main office, and let voting members inspect records for a proper reason. It must have a registered agent in Washington, DC, to receive legal notices, and the corporation is responsible for actions by its officers and agents within their authority. It also updates federal law so that references to the old name, “Reserve Officers Association of the United States,” now mean “Reserve Organization of America” .
