The holder of record definition determines how many investors a company has for the purposes of deciding whether a company needs to publicly register with the SEC; investor advocates have raised complaints about the current definition in that it allows many large companies-that otherwise would be public reporting companies-to stay private and avoid critical disclosures and public accountability.
43	Waters (CA)	An amendment stating that no funds from this Act shall be used to fund the administration or enforcement of the SEC No-Action Letter dated December 17, 2025, regarding the payment of transaction-based compensation to unregistered entities. This amendment goes after recent SEC policy guidance that allows certain unregistered entities known as “finders” to collect broker fees, which critics argue creates a shadow brokerage market with no oversight.
44	Waters (CA)	An amendment stating that no funds from this Act shall be used to fund any rulemaking or staff guidance that expands exempt offering pathways or increases the thresholds for Rule 506 of Regulation D, including any action that expands the definition of accredited investor to include uncertified individuals. This amendment targets industry attempts to expand retail access to private market securities, which come with higher risks and have far fewer disclosures, higher fees, and longer lockup periods that make it harder for investors to quickly get their money back.
45	Waters (CA)	An amendment that would prevent the SEC from conducting any rulemaking or issuing any guidance or no action relief that in effect would make it easier for retail investors to be sold private securities or other private market assets without requiring disclosures comparable to what investors receive in for public market securities.

This amendment goes after Trump SEC Chair Paul Atkin’s attempts to make it harder for shareholders to offer proposals at a company’s annual meeting, thereby limiting their ability to have a say in how the companies they own are managed.

This amendment targets attempts to limit transparency around excessive executive compensation, especially in light of Elon Musk’s potentially $1 trillion pay package.
48	Waters (CA)	An amendment stating that no funds from this Act shall be used to implement recent SEC guidance allowing for more mandatory shareholder arbitration.
